247 Biz Toolkit (“Toolkit”), a Pennsylvania limited liability company


1. Overview

247 Biz Toolkit (“Toolkit”) provides business-to-business (B2B) software, digital tools, and workflow automation designed to help commercial operators and sole proprietors streamline lead capture, appointments, messaging, workflow follow-up, and related business processes (the “Platform”).

Toolkit operates as a Platform Provider. Toolkit does not provide managed marketing services, creative services, consulting, or advertising delivery under this Agreement.

Use of the Platform constitutes acceptance of these Terms of Service (“Terms”).


2. Eligibility & Scope

The Platform is intended for commercial business use. Users must be:

(a) registered business entities (e.g., LLCs, corporations, partnerships), or
(b) sole proprietors operating a commercial business.

Toolkit does not operate as a consumer platform.


3. Platform vs. Services Distinction

Toolkit provides infrastructure, not agency or consulting services.

Optional consulting or service work provided by affiliated brands — including AJ Boswick & Co or 247 Biz — are separate offerings governed by separate agreements, statements of work, or engagement terms.

This Agreement applies to the Platform only.


4. Functional Use & Results

Toolkit provides infrastructure and tools that enable businesses to streamline lead capture, bookings, messaging, and workflow follow-up. Results depend on how each business uses the Platform.

Toolkit does not guarantee:

• lead conversion
• revenue or profit outcomes
• marketing performance
• search ranking or traffic outcomes
• customer acquisition results

Businesses are responsible for their own operations and outcomes.


5. Third-Party Platforms & Integrations

Toolkit may integrate with or rely on third-party platforms including:

• Go High Level (GHL)
• Twilio / telecom carriers
• ScoreApp
• Stripe / PayPal
• QuickBooks
• Google/Apple platforms

Users acknowledge that third-party services may require separate agreements or terms of service. Toolkit is not responsible for third-party performance or availability.


6. Payments & Billing

Toolkit uses third-party payment processors. Toolkit does not:

(a) store payment card data
(b) custody User funds
(c) operate as a money transmitter
(d) provide escrow or brokerage services

Users must maintain valid billing methods for recurring charges, if applicable.


7. User Responsibilities

Users are solely responsible for:

(a) business operations and decisions
(b) marketing, advertising, and representations
(c) content entered into the Platform
(d) communication with their customers
(e) consent for messaging and outreach
(f) legal compliance across jurisdictions
(g) accuracy of data provided

Toolkit provides tools; Users determine how those tools are used.


8. Messaging, Telecom & Compliance

The Platform may support operational messaging functions such as appointment confirmations, follow-ups, service notifications, educational workflows, and related communications.

Users acknowledge that messaging may be subject to telecom regulations including TCPA, CTIA, carrier rules, and applicable A2P requirements. Users are responsible for lawful consent when communicating with their own customers.

Toolkit may suspend messaging for unlawful, deceptive, abusive, or fraudulent usage.


9. Prohibited Uses

Users may not use the Platform to engage in:

(a) unlawful or fraudulent practices
(b) discriminatory or harmful conduct
(c) deceptive claims or misrepresentations
(d) telecom spam or carrier rule violations
(e) abusive marketing or harassment

Toolkit may suspend or terminate access for violations.


10. No Warranties or Guarantees

The Platform is provided “as-is” without warranties of performance, results, or merchantability. Toolkit does not guarantee business outcomes of any kind.


11. Limitation of Liability

To the extent permitted by law:

(a) Toolkit is not liable for indirect, consequential, punitive, or incidental damages
(b) Toolkit’s aggregate liability shall not exceed fees paid by User during the prior 12 months


12. Indemnification

Users agree to indemnify and defend Toolkit against claims related to:

(a) misuse of the Platform
(b) unlawful messaging or advertising
(c) regulatory violations
(d) User content or business practices
(e) operational outcomes

This clause aligns with telecom and procurement compliance.


13. Dispute Resolution (Tiered)

Disputes between User and Toolkit shall follow this mandatory process:

Step 1 — Negotiation/Mediation
Parties will attempt resolution through private mediation.

Step 2 — Confidential Binding Arbitration
Unresolved disputes will be settled by confidential binding arbitration in Pennsylvania.

Step 3 — Court for Enforcement Only
Courts may be used solely to enforce arbitration awards.

Users waive class actions and jury trials to the extent permitted by law.


14. Governing Law & Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania. Venue for arbitration and enforcement shall be in Pennsylvania.


15. Assignment & Succession

Toolkit may assign its rights to affiliates, acquirers, successors, or trust entities for continuity, succession, estate, or legacy purposes.

Users may assign rights only with written consent.


16. Modifications

Toolkit may update these Terms periodically. Continued use constitutes acceptance of modifications.


17. Entire Agreement

These Terms govern Platform access only and do not apply to consulting, creative, advisory, or training services provided by separate affiliated entities.


18. Amendments

Toolkit may update these Terms. Material changes will be posted. Continued use constitutes acceptance.


19. Dispute Resolution

Disputes should first be escalated to support for resolution. If unresolved, disputes will be handled under the laws of the state in which Toolkit is registered unless otherwise required.
